By accessing or using Sera, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform.

1. About Sera

Sera ("we," "us," or "our") operates at sera.cx and provides a non-custodial platform that facilitates international money transfers and currency exchange services. We are a technology platform that connects users with various partners including licensed payment service providers (PSPs), remittance companies, and developers who build applications using our APIs.

Important: Sera is NOT a regulated financial institution, money transmitter, or payment service provider. We do not hold, custody, or control user funds at any time. All regulated financial services (such as fiat on/off ramps, remittances, and payment processing) are provided by our licensed third-party partners. Developers and other non-licensed partners may also build applications using our technology infrastructure.

2. Non-Custodial Service

Sera operates as a non-custodial platform, which means:

  • We do not hold, store, or have access to your funds at any time
  • You maintain full control of your digital wallet and private keys
  • All fund transfers occur directly between you and our licensed PSP/remittance partners
  • We facilitate connections but do not execute financial transactions ourselves
  • You are solely responsible for the security of your wallet and credentials

3. Third-Party Service Providers and Partners

Sera works with two categories of partners:

3.1 Licensed Financial Service Providers

All regulated money transfer, remittance, and payment processing services are provided by our licensed third-party partners, including:

  • Licensed PSPs: Handle fiat currency on/off ramps (licensed and regulated)
  • Stablecoin Issuers: Provide stablecoin infrastructure (licensed where required)
  • Remittance Companies: Execute cross-border transfers (licensed and regulated)
  • Banking Partners: Facilitate deposits and withdrawals (licensed and regulated)

These partners are independently licensed and regulated in their respective jurisdictions. By using services provided by these partners, you also agree to comply with their terms and conditions.

3.2 Non-Licensed Partners, Developers, and Decentralized Parties

Sera also provides APIs and infrastructure to developers, businesses, and decentralized parties who build applications on our platform. Due to the open and permissionless nature of blockchain technology, these partners may include both licensed and unlicensed entities.

Important Notice About Unlicensed and Decentralized Parties:

  • Due to the permissionless nature of blockchain technology, unlicensed parties and decentralized entities may use Sera's infrastructure
  • Sera does not control, approve, or endorse applications built by third parties, whether licensed or unlicensed
  • Non-licensed and decentralized partners are solely responsible for obtaining any licenses or regulatory approvals required for their specific use case in their jurisdiction
  • Sera does not guarantee that applications built by third-party developers (licensed or unlicensed) comply with all applicable regulations
  • Users must perform their own due diligence and verify the compliance status, legitimacy, and regulatory standing of any third-party application before use

4. User Eligibility

To use Sera, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction)
  • Have the legal capacity to enter into binding contracts
  • Not be located in a jurisdiction where our services are prohibited
  • Comply with all applicable laws and regulations in your jurisdiction
  • Complete identity verification (KYC) as required by our PSP partners
  • Not be on any sanctions lists or prohibited persons lists

5. Prohibited Activities

You agree not to use Sera for any illegal or prohibited purposes, including but not limited to:

  • Money laundering, terrorist financing, or any illegal financial activities
  • Fraud, scams, or deceptive practices
  • Violation of sanctions, export controls, or trade restrictions
  • Unauthorized access, hacking, or security breaches
  • Market manipulation or insider trading
  • Impersonation or identity theft

6. Fees and Charges

Sera may charge fees for certain services. All applicable fees will be clearly displayed before you complete a transaction. Fees may include:

  • Platform fees (if applicable)
  • Network fees (blockchain transaction fees)
  • PSP/remittance partner fees
  • Currency conversion spreads

Fees are subject to change. We will notify users of any fee changes with reasonable advance notice.

7. Limitation of Liability

Important Disclaimer:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of funds due to user error, forgotten passwords, or lost private keys
  • Market volatility or currency fluctuations
  • Third-party service provider failures or errors
  • Blockchain network congestion or delays
  • Unauthorized access to your account due to your negligence
  • Regulatory changes or legal restrictions

8. Termination

We reserve the right to suspend or terminate your access to Sera at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms of Service
  • Suspected fraudulent or illegal activity
  • Failure to complete KYC verification
  • Regulatory or legal requirements

9. Changes to Terms

We may update these Terms of Service from time to time. We will notify users of material changes by posting the updated terms on our website and updating the "Last Updated" date. Your continued use of Sera after such changes constitutes acceptance of the new terms.
